  • Strong knowledge of U.S. securities laws and SEC regulations, including the Securities Act of 1933 and Securities Exchange Act of 1934
  • Demonstrated experience advising on debt and/or equity capital markets transactions, including offerings, SEC filings, corporate governance, and related documentation
  • Experience with high-yield bond transactions, Rule 144A offerings, Reg S offerings, or international debt issuances and/or IPOs, registration statements, and equity offerings
  • Excellent drafting, negotiation, communication, technology, and problem-solving skills
  • Juris Doctor (JD) degree and active New York bar admission
